Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms then you do not have permission to access the Service.

Scope of Access Rights to Service

Subject to these Terms of Use, Cornerstone grants you a limited, personal, non-exclusive and non-transferable license to download and use the Platform solely for your personal or internal use.

The Service and its original content, features and functionality are the intellectual property of Cornerstone and will remain the exclusive property of Cornerstone and/or its suppliers, affiliates, or licensors. Cornerstone Investment Partners, LLC or its licensors own and reserve all right, title and interest in and to the Service and all hardware, software and other items used to provide the Service, other than the rights we expressly grant to you to use the Service and our Confidential Information. No title to or ownership of any proprietary rights related to the Service or our Confidential Information is transferred to you pursuant to these Terms.  You may not reproduce all or any portion of the Platform.

You acknowledge and agree that Cornerstone Investment Partners, LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.

Your Account

Certain aspects of the Service may require you to obtain an account by completing a registration form and designating a user ID and password. When registering with us, you must: (a) provide true, current and complete information about yourself on the registration form and (b) maintain such information so it continues to be true, current and complete.

You are entirely responsible for all materials and information that you read, download, post or otherwise use via the Service. Only you may use your Cornerstone account and you are responsible for your account. You agree to notify Cornerstone immediately of any unauthorized use of your password or any other breach of security relating to the Service. You shall not, and shall not attempt to, access any data of another Service user if you are not an authorized user under the applicable Service account.

In order to operate and provide the Service, we collect certain information about you. We use and protect that information as described in our Privacy Policy. You acknowledge your use of the Service is subject to our Privacy Policy and understand that it identifies how we collect, store, and use certain information.

Confidential Information

During your use of the Service, Cornerstone may share with you information that is confidential, sensitive or should be kept secret. Cornerstone regards the Service as being proprietary and highly confidential to Cornerstone and but for your agreement to be bound by these Terms, Cornerstone would not allow you to access and use any part of the Service.

Similarly, we agree that your data usage and information contained in your account is confidential to you.

Also, if either of us provide any documents to the other that are labeled “confidential” (or something similar), or provide information (either in writing or verbal) that is of a type that a reasonable person should understand to be confidential such information is to be treated as confidential information.

However, if you tell us information that: (a) we already know at the time you tell us; (b) was told to us by a third party who had the right to tell us; (c) is generally available to the public; or (d) was independently developed by us without using any of your confidential information, then that information will not be considered confidential. The same goes for information that we tell you that falls into any of these categories.

Lastly, you and Cornerstone both agree that: (i) we will treat each other’s information with at least the same degree of care that each of us treats our own respective confidential information; (ii) we will use each other’s confidential information only in connection with these Terms and the Service; (iii) we will only share the information with others who have a need to know and who have agreed in writing to treat it as confidential (as we’ve outlined in this section); and (iv) we will not share the information with any third party except as allowed in these Terms or through the Service. Of course, confidential information will always remain the property of its owner.

Consent to electronic communications and solicitation

By registering with us or signing up for Service, you understand that we may send you (including via email) information regarding the Service, such as: (a) notices about your use of the Service, including notices of violations of use; (b) updates to the Service and new features or products; and (c) promotional information and materials regarding our products and services. Termination

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Updates to the service

We can make necessary deployments of changes, updates or enhancements to the Service at any time, and we may also add or remove functionalities or features, or we may suspend or stop the Service altogether, in each case, in our sole discretion

Restrictions on use

You may not use the Service for any illegal purpose, for the facilitation of the violation of any law or regulation, or in any manner inconsistent with the Terms. You agree to use the Service solely for your own benefit, and not for resale or other transfer or disposition to, or use by or for the benefit of, any other person or entity. You may not use any of the trademarks, trade names, service marks, copyrights, or logos of Cornerstone in any manner which creates the impression that such items belong to or are associated with you or are used with our consent, and you acknowledge that you have no ownership rights in and to any of such items.

You may neither interfere with nor attempt to interfere with nor otherwise disrupt the proper working of the Service, any activities conducted on or through the Service or any servers or networks connected to the Service. You may neither obtain nor attempt to obtain through any means any materials or information on the Service that have not been intentionally made publicly available either by public display on the Service or through accessibility by a visible link on the Service. You shall not violate the security of the Service or attempt to gain unauthorized access to the Service, data, materials, information, computer systems or networks connected to any server associated with the Service, through hacking, password timing or any other means. You may neither take nor attempt any action that, in the sole discretion of Cornerstone, imposes or may impose an unreasonable or disproportionately large load or burden on the Service or the infrastructure of the Service.

Indemnification

You agree, at your own expense, to indemnify, defend and hold harmless Cornerstone, its Suppliers, agents, directors, officers, employees, representatives, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ and experts’ fees, arising out of or in connection with the Service, or any links on the Service, including, but not limited to: (i) your use or someone using your device to access the Service; (ii) use by someone using your account; (iii) a violation of the Terms by you or anyone using your computer (or account, where applicable); (iv) a claim that any use of the Service by you or someone using your computer (or account, where applicable) infringes any intellectual property right of any third party, or any right of privacy or publicity, is libelous or defamatory, or otherwise results in injury or damage to any third party; (v) any deletions, additions, insertions or alterations to, or any unauthorized use of, the Service by you or someone using your computer (or account, where applicable); (vi) any misrepresentation or breach of representation or warranty made by you contained herein; or (vii) any breach of any covenant or agreement to be performed by you hereunder. You agree to pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action, or proceeding attributable to any such claim. Cornerstone reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Cornerstone in asserting any available defense. You acknowledge and agree to pay Cornerstone’s reasonable attorneys’ fees incurred in connection with any and all lawsuits brought against you by Cornerstone under the Terms and any other terms and conditions of service on this site, including without limitation, lawsuits arising from your failure to indemnify Cornerstone pursuant to these Terms.

Disclaimer and Limitation Of Liability

(i) You agree that your use of the Service is at your sole risk and acknowledge that the Service and anything contained within the Service, including, but not limited to, content, services, goods, or advertisements are provided “as is” and “as available,” and that we make no warranty of any kind, express or implied, as to the service, including, but not limited to, merchantability, non-infringement, title, or fitness for a particular purpose or use.

(ii) Cornerstone does not warrant that the Service is compatible with your equipment or that the Service, or e-mail sent by Cornerstone or any of its representatives, is or will be free of errors or viruses, worms or Trojan horses, or any other harmful, invasive, or corrupted files, and is not liable for any damage you may suffer as a result of such destructive features. You agree that Cornerstone and its Suppliers, agents, directors, officers, employees, representatives, successors, and assigns shall have no responsibility or liability for: (i) any injury or damages, whether caused by the negligence of Cornerstone, its parent, or their respective affiliates, Suppliers, agents, directors, officers, employees, representatives, subsidiaries, successors, and assigns, or otherwise arising in connection with the Service and shall not be liable for any lost profits, losses, punitive, incidental or consequential damages, or any claim against Cornerstone by any other party; or (ii) any fault, inaccuracy, omission, delay, or any other failure in the Service caused by your computer equipment or arising from your use of the Service on such equipment. The content of other Web sites, services, goods, or advertisements that may be linked to the Service is not maintained or controlled by Cornerstone. (iii) You acknowledge that: (i) the Service is provided for information purposes only and is not intended for trading purposes; (ii) the Service may include certain information taken from stock exchanges and other sources from around the world; (iii) Cornerstone does not guarantee the sequence, accuracy, completeness, or timeliness of the Service; (iv) the provision of certain parts of the Service is subject to the terms and conditions of other agreements to which Cornerstone might be a party; (v) none of the information contained on this site constitutes a solicitation, offer, opinion, or recommendation by Cornerstone to buy or sell any security, or to provide legal, tax, accounting, or investment advice or services regarding the profitability or suitability of any security or investment; and (vi) the information provided on this site is not intended for use by, or distribution to, any person or entity in any jurisdiction or country where such use or distribution would be contrary to law or regulation. (iv) Under no circumstances, including but not limited to negligence, shall Cornerstone, its suppliers, agents, directors, officers, employees, representatives, successors, or assigns be liable to you for direct, indirect, incidental, consequential, special, punitive, or exemplary damages even if Cornerstone has been advised specifically of the possibility of such damages, arising from use of or inability to use the service or any links or items on the service or any provision of the terms, such as, but not limited to, loss of revenue or anticipated profits or lost business. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages. in no event shall Cornerstone’s total liability to you for all damages, losses and causes of action (whether in contract or tort, including but not limited to, negligence) exceed the amount paid by you, if any, for accessing this service.

Your Authority to agree to these terms

You represent, warrant and covenant that: (i) you have the power and authority to enter into this agreement; and (ii) you are at least eighteen (18) years old.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Georgia, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Changes

We reserve the right, in our sole discretion, to make changes or modifications to these Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change.
